Parties shall comply with all relevant laws and regulations that proscribe, prohibit or penalize acts of bribery, corruption and related criminal acts or torts (which shall include the obligations set forth in the UK Bribery Act 2010 as amended from time to time (more information in this respect is available on AION Consulting BE UK Anti-Bribery Act), in all their dealings and relations, whether in relation with this Agreement or otherwise, in whatever form and howsoever arising.
Furthermore, Borrower and, to the knowledge of Borrower, its Affiliates have conducted their businesses in compliance with the UK Bribery Act, the FCPA and similar laws, rules or regulations and have instituted and maintain policies and procedures designed to ensure, and which are reasonably expected to continue to ensure, continued compliance therewith.
