TSRU definition

TSRU means a “Total Shareholder Return Unit,” which is a contractual right to receive an award of shares of Pfizer common stock with a value equal to the change in the stock price of Pfizer common stock over the applicable settlement period, as well as accrued dividend equivalents, subject to certain restrictions and issued pursuant to the Pfizer Stock Plan.

  • Pfizer shall be entitled to claim any compensation deduction associated with the exercise by a holder of a Pfizer Option, or the vesting of a Pfizer Restricted Stock Unit, TSRU and PSA, as the case may be, on any duly filed US federal, state, local or foreign income tax return for the year of exercise or vesting, and neither the Company nor any of its Affiliates shall take any inconsistent position in connection therewith.
