  • It shall be a condition of the obligations of Upjohn to indemnify and hold Trylon and Perisphere harmless hereunder that Trylon or Perisphere, as applicable, give written notice to Upjohn following the assertion of any claim against Trylon or Perisphere for which indemnification is required hereunder; provided, however, that the failure to give notice shall not relieve -------- ------- Upjohn from its obligations hereunder unless Upjohn is materially and irrevocably prejudiced by reason of such failure.
