Trust Shareholders definition

Trust Shareholders means the Sellers that have transferred Shares to the Trust pursuant to this Agreement and any Seller who subsequently transfers Shares to the Trust pursuant to the Trust Agreement. At the execution of the Trust Agreement, the Trust Shareholders shall be the Sellers transferring Shares as detailed in column 4 of Annex A (except for GH Holding Group Corp. who will be subject to the GH Supplementary Agreement).
Trust Shareholders shall have the meaning set forth in the recitals.

Examples of Trust Shareholders in a sentence

  • Upon liquidation or termination of a Series or Class thereof of the Trust, Shareholders of such Series or Class thereof shall be entitled to receive a pro rata share of the net assets of such Series.

  • To the extent that, at law or equity, a Trustee or officer of the Trust has fiduciary duties or liabilities related thereto to the Trust, Shareholders or any other person, such Trustee or officer shall not be liable for their good faith reliance upon this Declaration of Trust.

  • You further agree to deliver to Shareholders such additional materials that are legally required to be delivered to Trust Shareholders, including but not limited to statements showing their positions in the Funds, tax notices, proxy solicitation materials and periodic reports.

  • Upon liquidation or termination of a series of the Master Trust, Shareholders in such series or class shall be entitled to receive a pro rata share of the Trust Estate belonging to such series or in the case of a class, belonging to such series and allocable to such class.

  • None of the Trust, Shareholders or Trustees shall take any action or file any tax return inconsistent with such tax treatment.

  • For the avoidance of any doubt and notwithstanding anything to the contrary in this Declaration of Trust, Shareholders shall have no separate right to vote with respect to the dissolution of the Trust or a Series or Class of Shares if the Trustees (including the Continuing Trustees) exercise their right to dissolve the Trust or such Series or Class pursuant to clauses (ii) and (y) of this Section 1.

  • This Agreement may be amended, modified or supplemented in such manner as may be mutually agreed upon in writing by the parties; provided, however, that following the approval of this Agreement by Current Trust Shareholders, no such amendment may have the effect of changing the provisions for determining the number of Successor Trust Shares to be paid to Current Trust Shareholders under this Agreement to the detriment of Current Trust Shareholders without their further approval.

  • Preferred Shareholders means the holders of Preferred Shares.

  • Common Shareholders means the registered and/or beneficial holders of the Common Shares, as the context requires.

  • Public Shareholders means the holders of securities issued in the Public Offering; (vii) “Trust Account” shall mean the trust fund into which a portion of the net proceeds of the Public Offering and the sale of the Private Placement Warrants shall be deposited; and (viii) “Transfer” shall mean the (a) sale of, offer to sell, contract or agreement to sell, hypothecate, pledge, grant of any option to purchase or otherwise dispose of or agreement to dispose of, directly or indirectly, or establishment or increase of a put equivalent position or liquidation with respect to or decrease of a call equivalent position within the meaning of Section 16 of the Exchange Act, and the rules and regulations of the Commission promulgated thereunder with respect to, any security, (b) entry into any swap or other arrangement that transfers to another, in whole or in part, any of the economic consequences of ownership of any security, whether any such transaction is to be settled by delivery of such securities, in cash or otherwise, or (c) public announcement of any intention to effect any transaction specified in clause (a) or (b).

  • Controlling Shareholders means controlling shareholders of the Company, as such term is defined in the Ordinance.

  • Principal Shareholders means ▇▇▇▇ ▇. ▇▇▇▇, ▇▇▇ ▇. ▇▇▇▇▇▇▇ and ▇▇▇▇▇ ▇. ▇▇▇▇▇▇, and their respective assignees or successors in interest.
