Third Party Development definition

Third Party Development shall have the meaning ascribed to such term in Section 5.6(b) and 7.1(b).
Third Party Development means development of the West Science Building Parcel by an entity (other than an Excluded Entity) that has both an equity ownership interest in the improvements in such development and the right to participate in the net income or profits therefrom, and the term “Excluded Entity” means (x) the University or an entity wholly-owned or controlled by the University, (y) a non-profit entity (or wholly owned subsidiary thereof) holding an interest in the West Science Building Parcel and the improvements in such development solely for the purpose of a bond financed, tax-exempt financing, sale leaseback financing or other structured financing (such as Collegiate Housing Foundation (or its wholly owned subsidiaries), or Collegiate Housing Northwest (or its wholly owned subsidiaries), or California Public Finance Authority), which entity may be entitled to receive only a customary operating fee and shall have no right to participate in the net income or profits from the development, or (z) the State of California or any political division thereof or an entity wholly-owned or controlled by the State of California or any political division of the State of California. In no event shall a Third-Party Development be deemed to occur solely as a result of payment of construction development fees to a third-party developer. Notwithstanding anything to the contrary herein, the West Science DocuSign Envelope ID: 93B39195-D5C3-430B-8A8C-CCAC6E53AEA8 Building Costs (i) shall not be reimbursable under the Shared Use Agreement nor otherwise chargeable as an operating expense or other obligation of the parties to the Shared Use Agreement, (ii) in no event shall University have any obligation to reimburse Developer for the West Science Building Allocated Costs, and (iii) if Developer fails to exercise the Western Science Building Option and University does not enter into a ground lease with a Future Development Party which permits the Future Development Party to develop a Third-Party Development upon the West Science Building Parcel during the period prior to the fifth (5th) anniversary of the expiration of the Western Science Building Option, then Developer shall have no right to lien the West Science Building Parcel or any other portion of Aggie Square Phase I for the costs of the West Science Building Allocated Costs and neither University nor any other party shall have any obligation to reimburse Developer for any portion of the West Science Building Allocated Costs.
Third Party Development means any development, works or like activity carried out during the Franchise Term by or on behalf of any third party (other than DLRL or the Franchisee) adjacent to, or which otherwise affects or may potentially affect, any part of the Railway;

Examples of Third Party Development in a sentence
