Technology Hours definition

Technology Hours means (1) the Legacy Technology Hours, (2) effective on the Legacy Technology Hours Exhaustion Date (as defined below), a pro-rated portion of five thousand (5,000) hours calculated as follows 5,000 multiplied by (the number of calendar months remaining, including the month in which the Legacy Technology Hours Exhaustion Date occurs, in the applicable Contract Year following the Legacy Technology Hours Exhaustion Date divided by 12) (the “Technology Hour Proration Period”) or (3) upon the expiration of the Technology Hour Proration Period, five thousand (5,000) hours for each Contract Year thereafter together with any Carryover Technology Hours, in each case, which are available for the performance of Technology Services in a Contract Year. Carryover Technology Hours will not be subject to expiration or termination for the Initial Term and Renewal Term of this Agreement.

Technology Hours for a given calendar year means the product obtained by multiplying the “Technology Resources Number”, which is hereby set at 2, times (II) 1,500. For clarification: 1,500 hours represents time spent performing Technology Services and excludes time off from work in accordance with personnel policies of BNYM, such as vacation, sick, personal and holiday time, time spent performing duties reasonably imposed on BNYM employees as employees such as training, governance and compliance activities and staff meetings, and time not worked as a result of open requisitions.

Technology Hours means 125 hours each calendar month allocated as evenly as practicable over each of the Business Days occurring during the particular calendar month.

Examples of Technology Hours in a sentence

  • Company may request that BNYM, at Company’s expense to the extent in excess of the Technology Hours (as defined in the Main Agreement), develop modifications to the software constituting a part of the Licensed System that BNYM generally makes available to customers for modification (“Software”) that are required to adapt the Software for Company’s unique business requirements, specifications or computer systems.

  • Seven (7) Technology Hours will be available for the 2 implementation of technology to enhance instruction and overall effectiveness.

  • Technology means all Software, content, websites, technical data, subroutines, tools, materials, invention disclosures, improvements, apparatus, creations, works of authorship and other similar materials, and all recordings, graphs, drawings, reports, analyses, documentation, user manuals and other writings, and other tangible embodiments of the foregoing, in any form whether or not specifically listed herein.
