If a Tax Indemnified Loss arises out of a claim asserted by a third party, the parties shall not be required to resolve the amount of such Tax Indemnified Loss until the final resolution of such third party claim.
Indemnified Losses is defined in Section 5.03 of the Servicing Agreement.
Tax Indemnified Party shall have the meaning set forth in Section 7.6(d).
Indemnified Liability means any and all claims, damages, liabilities, costs, losses, and expenses (including reasonable attorneys’ fees and all related costs and expenses) arising from or relating to any claim, suit, proceeding, demand, or action brought by an Indemnified Party against you or a third party or other User.
Tax Indemnitee as defined in Section 3.01(5).
Tax Losses has the meaning assigned to such term in Section 7.1(a).
Seller Indemnified Party has the meaning set forth in Section 7.2.
Indemnified Items shall have the meaning assigned to such terms in Section 2(b).
Indemnified Amount has the meaning set forth in Section 8.01.
Tax Loss means the taxable income or tax loss of the Trust, determined in accordance with Section 703(a) of the Code, for each Fiscal Year as determined for federal income tax purposes, together with each of the Trust's items of income, gain, loss or deduction which is separately stated or otherwise not included in computing taxable income and tax loss.
Indemnified Costs has the meaning specified in Section 8.05(a).
Indemnified Amounts Defined in Section 11.1.
Indemnified Liabilities has the meaning specified in Section 10.05.
Purchaser Indemnified Party shall have the meaning set forth in Section 9.1(a).
Servicer Indemnified Party As defined in Section 8.05(c) of this Agreement.
Buyer Indemnified Party has the meaning set forth in Section 8.2.
Purchaser Indemnified Person is defined in Section 5.1 of the Sale Agreement.
Indemnifiable Losses means any and all Losses relating to, arising out of or resulting from any Indemnifiable Claim.
Seller Indemnified Persons has the meaning set forth in Section 8.3.
Seller Indemnitee has the meaning set forth in Section 9.2(b).
Purchaser Indemnified Persons has the meaning specified in Section 11.01(a).
Manager Indemnified Party has the meaning set forth in Section 8(a) hereof.
Seller Indemnified Parties has the meaning set forth in Section 8.1.
Seller Indemnitees has the meaning set forth in Section 8.03.
Buyer Indemnified Persons has the meaning set forth in Section 8.2.
Purchaser Indemnitee As defined in Section 6(a) hereof.
Purchaser Losses shall have the meaning set forth in Section 9.1(a).
