TAL Data definition

TAL Data means market information consisting of securities and commodity prices and other data which is gathered from various stock exchanges, commodity exchanges, news and other information sources either directly from the sources to TAL or through third party providers and the structure, sequence and organization of which is formatted by TAL.

  • Each such error report will include a detailed description of the relevant error and of the operating environment (hardware and/or software) in which TAL Data was running when such error was discovered, and, a test case that demonstrates the error.

  • As soon as Archipelago royalty-payment obligation under Section 4.1 shall have ceased and subject to Section 2.1.1(b), Archipelago will stop using TAL Data and make all reasonable efforts to cause Subscribers to stop using TAL Data.

  • In the event of any such infringement or violation, TAL shall use its best efforts to either (x) modify or replace infringing portions of the TAL Technology or TAL Data with software or data of substantially similar functionality, or (y) obtain license(s) for the infringing portions.

  • Subscriber shall be solely responsible for ensuring that a terminated Authorized User’s access to the Licensed Product and/or TAL Data is terminated.

  • Archipelago acknowledges that the sources or the third party provider of the TAL Data may terminate supply of the TAL Data without notice and that neither TAL nor the sources or the third party providers shall have any liability in connection therewith.

  • Subscriber shall not, and shall not attempt to, assign, pledge, encumber, sell or otherwise transfer to any third party the Licensed Product, TAL Data or related documentation.

  • TAL is willing to license and distribute TAL Data to Archipelago and Archipelago Subscribers, and Archipelago, on behalf of itself and existing and future Affiliates, is willing to accept such license, pursuant to the terms and subject to the conditions set forth below.

  • However, at Archipelago’s reasonable request, TAL, subject to its normal scheduling and commercial considerations, will cooperate with Archipelago at Archipelago’s expense, in evaluating the error, recommending solutions, and, if reasonable, modifying TAL Data to mitigate or remedy such error.

  • TAL shall have the right to copy any item that Subscriber may possess with respect to a possible violation or breach of this Agreement and to remove any Licensed Product and/or access to TAL Data as a result of any such violation or breach.

  • Nothing herein shall obligate Archipelago to market the TAL Technology and TAL Data.

Related to TAL Data

  • Historical data means any data collected by an ALPR system and stored on the statewide ALPR server operated by the Vermont Justice Information Sharing System of the Department of Public Safety. Any data collected by an ALPR system in accordance with this section shall be considered collected for a legitimate law enforcement purpose.

  • Confidential Data used in connection with their businesses. “Personal Data” means (i) a natural person’s name, street address, telephone number, e-mail address, photograph, social security number or tax identification number, driver’s license number, passport number, credit card number, bank information, or customer or account number; (ii) any information which would qualify as “personally identifying information” under the Federal Trade Commission Act, as amended; (iii) “personal data” as defined by GDPR; (iv) any information which would qualify as “protected health information” under the Health Insurance Portability and Accountability Act of 1996, as amended by the Health Information Technology for Economic and Clinical Health Act (collectively, “HIPAA”); (v) any “personal information” as defined by the California Consumer Privacy Act (“CCPA”); and (vi) any other piece of information that allows the identification of such natural person, or his or her family, or permits the collection or analysis of any data related to an identified person’s health or sexual orientation. There have been no breaches, violations, outages or unauthorized uses of or accesses to same, except for those that have been remedied without material cost or liability or the duty to notify any other person, nor any incidents under internal review or investigations relating to the same. The Company and its subsidiaries are presently in material compliance with all applicable laws or statutes and all judgments, orders, rules and regulations of any court or arbitrator or governmental or regulatory authority, internal policies and contractual obligations relating to the privacy and security of IT Systems, Confidential Data, and Personal Data and to the protection of such IT Systems, Confidential Data, and Personal Data from unauthorized use, access, misappropriation or modification.

  • Virtual Data Room means the virtual data room established by the Company, access to which was given to SPAC in connection with its due diligence investigation of the Company relating to the Transactions.

  • Operational Data means personal data provided or made available by one party to the other which is operationally required for the performance of the Contract (business contact information such as names, email addresses, telephone numbers and fax numbers) relating to the Party’s employees or representatives;

  • Technical Data means recorded information, regardless of the form or method of the recording, of a scientific or technical nature (including computer software documentation). The term does not include computer software or data incidental to contract administration, such as financial and/or management information.
