Swap Cost definition

Swap Cost means, as of any date, the sum of (A) a market swap spread, ---------- as reasonably determined by the Agent, for an amortizing interest rate swap for a portfolio similar to the Contracts, pursuant to which the Seller would pay a fixed rate equal to the yield of a United States Treasury Note with an average life equal to the expected average life of the Contracts and the counterparty to such interest rate swap would pay a floating rate equal to the Eurodollar Rate (Reserve Adjusted), plus (B) the fixed rate described in the foregoing clause ---- (A).

  • The Swap Execution Costs shall be calculated by applying the relevant Swap Cost Execution Rate set out in Annex 1 in respect of the relevant class of ETP Securities in the manner specified under the terms of the relevant Swap Transaction.

  • Reference Amount means, for each share of Mandatory Convertible Preferred Stock, an amount equal to the sum of the following amounts:

  • Hedge Breakage Costs means, with respect to each Hedge Counterparty upon the early termination of any Hedge Transaction with such Hedge Counterparty, the net amount, if any, payable by the Borrower to such Hedge Counterparty for the early termination of that Hedge Transaction or any portion thereof.

  • Swap Exposure means, as at any relevant date, the amount certified by the Swap Bank to the Agent to be the aggregate net amount in Dollars which would be payable by the Borrower to the Swap Bank under (and calculated in accordance with) section 6(e) (Payments on Early Termination) of the Master Agreement if an Early Termination Date had occurred on the relevant date in relation to all continuing Designated Transactions entered into between the Borrower and the Swap Bank;

  • Swap Payment Date For so long as the Swap Agreement is in effect or any amounts remain unpaid thereunder, the Business Day immediately preceding each Distribution Date.

  • Reference Interest Rate means the following rate (expressed as a percentage rate per annum) for deposits in the currency of the Strike Price: the Reference Interest Rate specified in the Table which has been published on the screen page specified in the Table (the "Screen Page") (or on a screen page replacing such screen page) on the immediately preceding Reset Date, provided that if such day is a Monday, the relevant day will be the immediately preceding Friday; all as determined by the Determination Agent.
