As of the Closing Date or the related Funding Date, as applicable, none of the 2021-1C SUBI Certificate, any Receivable (other than Receivables originated by a Bank Originator), or any participation interests in the Receivables (in the case of Receivables originated by a Bank Originator) has been sold, transferred, assigned, conveyed or pledged by any Originator, Regional Management, the Trust or the Borrower to any Person other than pursuant to the Basic Documents.
