Stockholders' Release has the meaning set forth in Section 4.8(a).

Stockholders' Release means the releases executed by each of the Stockholders in favor of Seller and Purchaser in the form of Exhibit F hereto.

• Sellers shall also use their reasonable best efforts to obtain from each of the Major Stockholders a Major Stockholders Release.

• No Stockholder Releasing Party shall, directly or indirectly, commence, aid in any way, prosecute or cause to be commenced or prosecuted any action, suit or other legal or administrative proceeding against any of the Landos Released Parties arising out of or relating, directly or indirectly, to or involving any Stockholder Claim covered by the Stockholders Release.

• Sellers shall have delivered to Target, with a copy to Purchaser, a Stockholder's Release duly executed by Sellers in the form of and containing the same terms and provisions as the Stockholder's Release provided herewith as Schedule 8.5.

• Each of the Stockholders shall have executed the Stockholders' Release.
