• The Stakeholder Representative, from time to time based on its reasonable discretion, shall pay to the Paying Agent or the Company for distribution to the Holders their respective Pro Rata Share of any amount remaining from the Stakeholder Representative Expense Amount.

• The Parties shall have received (i) the deliveries set forth in Section 2.5(b) and Section 2.5(c) and (ii) a duly executed counterpart to the Escrow Agreement from the Parent, the Stakeholder Representative and the Escrow Agent.

• In the event of such a dispute and delivery of the Dispute Notice, Acquiror and the Stakeholder Representative shall first use diligent good faith efforts to resolve such dispute.

• The determination made by the Independent Accounting Firm shall not exceed or be less than the amounts proposed by the Company and the Stakeholder Representative, as applicable.

Stakeholder Representative means an individual entitled to receive notice of, attend and participate in discussions but not vote at, open meetings of the Board, who shall hold the position of one of the following:
