Spin-Offs definition

Spin-Offs means the External and Internal Spin-offs.
Spin-Offs means the collective reference to the Hospitality Services Spin-Off, the Real Estate Services Spin-Off and the Travel Distribution Group Spin-Off, each a “Spin-Off”.
Spin-Offs means the spin-off of Tennessee's shipbuilding, packaging, automotive and administrative services units to its shareholders immediately prior to the Merger as described in the Joint Proxy Statement.

Spin-Offs has the meaning set forth in the recitals to this Agreement.
Spin-Offs means (a) the spin off by ITT Corporation of its water infrastructure and applied water businesses through the transfer of such businesses to the Company and the distribution of all of the shares of common stock of the Company to the shareholders of ITT Corporation, as described in the Xylem Form 10 and (b) the spin off by ITT Corporation of its C4ISR (command, control, communications, computers, intelligence, surveillance and reconnaissance) electronics and systems, and informational and technical services businesses through the transfer of such businesses to Exelis Inc. and the distribution of all of the shares of common stock of Exelis Inc. to the shareholders of ITT Corporation, as described in the Exelis Form 10.
Spin-Offs means the First Internal Spin-Off and the Second Internal Spin-Off (as each of such terms are used with respect to the Internal Reorganization) and the Distribution.
Spin-Offs shall have the meaning set forth in the recitals hereto.
Spin-Offs as defined in the Preamble to this Agreement.
