In the event that the planned spin-off of FedEx Freight, Inc (the “Spin-Off”) is completed and the Participant is an employee of the spun-off entity (“SpinCo”) immediately following the Spin-Off, the Participant acknowledges that the board of directors of SpinCo or a committee thereof may modify or replace the performance goals in its sole discretion as it deems equitable and appropriate to preserve the intended purpose of the award.
If any dividend or distribution that constitutes a Spin-Off is declared but not so paid or made, the Conversion Rate shall be immediately decreased, effective as of the date the Company determines not to pay or make such dividend or distribution, to the Conversion Rate that would then be in effect if such dividend or distribution had not been declared or announced.
