For this purpose an Obligor will be deemed insolvent if it is unable to pay its debts within the meaning of S.123 of the Insolvency Xxx 0000 or, as the case may be, the Spanish Insolvency Act, 22/2003.
None of the Vendors is insolvent or unable to pay its debts within the meaning of the Spanish Insolvency Act (Ley 0/0000, xx 0 xx xxxx Xxxxxxxxx) or any other insolvency legislation applicable to such Vendor; or has stopped paying its debts as they fall due.
OF A SPANISH GUARANTOR In the event of the declaration of insolvency of a Spanish Guarantor, any Finance Party which is considered to be a related person ("persona especialmente relacionada") pursuant to the Spanish Insolvency Act ("Ley 22/2003 Concursal") hereby waives its rights to receive (i) any Sharing Payment pursuant to Clause 28 (Sharing among the Finance Parties) and (ii) any payment received by the Agent pursuant to Clause 29 (Payment Mechanics), in respect of such Spanish Guarantor.
Neither the Company nor any Subsidiary has taken any steps with a view to a suspension of payments or a moratorium of any indebtedness or for the granting of pre-insolvency protection under the Laws of any applicable jurisdiction (including the Spanish Insolvency Act) or has made or is negotiating any voluntary arrangement with any of its creditors or is insolvent or unable to pay its debts as they become due.
This Opinion and the capacity of the Spanish Company is subject to all applicable laws (Spanish and foreign) relating to (i) the Spanish public order (“ orden público”) and (ii) insolvency, bankruptcy, administration, liquidation, reorganization or other analogous circumstances and other Law affecting the enforcement of creditors’ rights and remedies from time to time, including without limitation the Spanish Insolvency Act.
