SOPA Documents definition

SOPA Documents means (i) the Loan Agreement, dated as of October 1, 2020, between Southern Ohio Port Authority and PureCycle: Ohio LLC; (ii) the Indenture of Trust, dated as of October 1, 2020, between Southern Ohio Port Authority and UMB Bank, N.A.; (iii) the Collateral Assignment of Technology Sublicense Agreement and Power of Attorney, dated as of October 7, 2020, between PureCycle: Ohio LLC and UMB Bank, N.A.; (iv) the Guaranty of Completion, dated as of October 7, 2020, by the Company in favor of UMB Bank, N.A., (v) the Agreement for Program Management Services, dated as of January 5, 2018, between the Company and M.A. M▇▇▇▇▇▇▇▇ Company, as amended to date; (vi) the Professional Services Agreement, dated as of May 9, 2017, between Leidos Engineering, LLC and the Company, as amended; (vii) the Environmental Indemnity Agreement, dated as of October 7, 2020, between PureCycle Ohio LLC, the Company and UMB Bank, N.A.; (viii) Intercompany Trademark License Agreement, dated as of October 7, 2020, between the Company and PureCycle: Ohio LLC; (ix) Operations and Maintenance Agreement, dated on October 7, 2020, among PureCycle Ohio LLC, PCT Managed Services LLC and PureCycle Ohio LLC; (x) Technology Sublicense Agreement, dated as of October 7, 2020, between the Company and PureCycle Ohio LLC; (xi) Supply Agreement, dated as of October 5, 2020, between K▇▇▇ Modular Process Systems, LLC and the Company; and (xii) Turnkey Agreement for the Engineering, Procurement and Construction of the Commercial Polypropylene Purification Facility, dated as of October 7, 2020, between PureCycle: Ohio LLC and D▇▇▇▇▇-▇▇▇▇▇▇ Company, Inc.

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • DIP Documents means the DIP ABL Documents and the DIP Term Loan Documents.

  • Contractor Documents means one or more document, agreement or other instrument required by Contractor in connection with the performance of the products and services being purchased by the State, regardless of format, including the license agreement, end user license agreement or similar document, any hyperlinks to documents contained in the Contractor Documents, agreement or other instrument and any other paper or “shrinkwrap,” “clickwrap,” “browsewrap” or other electronic version thereof.

  • Financing Documents means, collectively, this Agreement, the Note, the Security Documents, the Account Control Agreement and any other agreements, documents or certificates delivered pursuant hereto or thereto.

  • Operating Documents are, for any Person, such Person’s formation documents, as certified by the Secretary of State (or equivalent agency) of such Person’s jurisdiction of organization on a date that is no earlier than thirty (30) days prior to the Effective Date, and, (a) if such Person is a corporation, its bylaws in current form, (b) if such Person is a limited liability company, its limited liability company agreement (or similar agreement), and (c) if such Person is a partnership, its partnership agreement (or similar agreement), each of the foregoing with all current amendments or modifications thereto.
