Sole Members definition

Sole Members means collectively, DPC Mezzanine, LLC, Pan Am Mezzanine I, LLC, Pan Am Mezzanine II, LLC, Pan Am Mezzanine III, LLC, Pan Am Mezzanine IV, LLC, WFP Mezzanine A, LLC, WFP Mezzanine B, LLC, WFP Mezzanine C, LLC, WFP Mezzanine D, LLC and WFP Mezzanine E, LLC, each a Delaware limited liability company, and “Sole Member” shall refer to each of the foregoing individually.
Sole Members means, collectively, (i) MVP Real Estate Holdings, LLC, a Nevada limited-liability company, the sole member of each of MVP City Park, MVP Washington Street and MVP Milwaukee, and (ii) MVP REIT II Operating Partnership, LP, a Delaware limited partnership, the sole member of each of MVP Hawaii, MVP New Orleans and MVP Raider Park, each of which is referred to herein as a "Sole Member".

Examples of Sole Members in a sentence

  • The Sole Member's Membership Interest in the Company shall be freely alienable.

  • The Sole Member's Membership Interest shall be divided into "Units." The Units shall be evidenced by the issuance to the Sole Member of a Unit certificate.

  • The Sole Member may sell, assign, pledge or otherwise transfer or encumber (collectively "transfer") all or any part of its interest in the Company to any entity beneficially owned or controlled by the Sole Member, and such transferee of all or any part of the Sole Member's interest in the Company shall be admitted as a substituted Member.

  • Borrower shall give prompt notice to Lender of any litigation or governmental proceedings pending or threatened against Borrower or Sole Member which might materially adversely affect the Property or Borrower's or Sole Member's condition (financial or otherwise) or business (including Borrower's ability to perform its obligations hereunder or under the other Loan Documents).

Related to Sole Members

  • Sole Member means the Person listed on Schedule A hereto, as amended from time-to-time, who owns the sole Membership Interest in the Company upon such terms and conditions as provided in this Agreement and under the Act.
