  • This Agreement shall be for an initial term of three (3) years commencing on the date of this Agreement.

  • Unless expressly provided otherwise in a written agreement signed by Spark, Spark will not be bound by any so called “click-wrap”, “shrink wrap” or “browser wrap” terms and conditions put forward by Supplier in relation to the Software, and except in the case of Third Party Software, Supplier will ensure that Spark is able to Use the Software without any requirement to accept such terms and conditions.

  • If Supplier decides to cease production and/or support for any Software, Supplier shall promptly notify Intel and provide a Software conversion methodology to any new or replacement product(s) Supplier will offer.

  • In the event Supplier deploys a server side Software change that causes Supplier to breach the above warranty in this Section 15.8 with respect to Wireless Device client Software, Supplier shall upgrade the Software used on the affected Wireless Device at no additional fee, provided Verizon is current on its Maintenance payments.

  • With respect to any disabling code that may be part of the Software, Supplier shall not invoke such disabling code at any time (whether during or after the Term) for any reason.

  • service supplier means any person that supplies a service;
