  • Beijing SL represents, warrants, and covenants to Gemphire that, as of the Effective Date, Beijing SL has not granted, and will not grant during the Term, any right to any Third Party under the Beijing SL Technology that would conflict with the rights granted to Gemphire hereunder.

  • SL Technology shall keep these records carefully preserved and available for inspection by Soy Labs, or its authorized representative or agents, for a period of at least three (3) years following the end of the Year to which they pertain.

  • SL Technology hereby represents and warrants that its representations and warranties in this Section 5 are correct and complete as of the date of this Agreement.

  • Soy Labs shall promptly notify SL Technology in writing if Soy Labs becomes aware of any third party infringement of the Technology.

  • New Technology means methods, products, processes and procedures developed through science or research;

  • Company Technology means all Technology used in or necessary for the conduct of the business of the Company or any of its Subsidiaries, or owned or held for use by the Company or any of its Subsidiaries.

  • Joint Technology means the Joint Know-How and the Joint Patent Rights.

  • Licensee Technology means the Licensee Know-How and Licensee Patents.

  • Licensor Technology means the Licensor Patents and the Licensor Know-How.
