Shelf Filing Date definition

Shelf Filing Date has the meaning set forth in Section 2.1(a).

Shelf Filing Date. With respect to a Shelf Registration, the 30th day following (i) in the case of an Initial Shelf Registration, delivery of the Shelf Notice triggering the obligation to file such Initial Shelf Registration, and (ii) in the case of a Subsequent Shelf Registration, the cessation of effectiveness of the prior Shelf Registration.

Shelf Filing Date. As defined in Section 4(a) hereof.

Examples of Shelf Filing Date in a sentence

• The Company shall use its commercially reasonable efforts to cause the Registration Statement to be declared effective under the Securities Act by the Commission as soon as reasonably practicable after the Mandatory Shelf Filing Date.

• The Company shall file with the SEC the Initial Shelf Registration as promptly as possible following the occurrence of the event described in Section 2(i) which triggered such filing obligation, but in no event later than the Shelf Filing Date.

• Otherwise, the Issuers and the Guarantors shall file with the SEC the Initial Shelf Registration as promptly as practicable following the delivery of the Shelf Notice, but in no event later than the Shelf Filing Date.

• The Issuers and the Guarantors shall file with the SEC the Initial Shelf Registration as promptly as possible following the occurrence of the event described in Section 2(i) which triggered such filing obligation, but in no event later than the Shelf Filing Date.

• On or prior to the Shelf Filing Date, the Company will file a "shelf" registration statement (the "SHELF REGISTRATION") on an appropriate form pursuant to Rule 415 under the Securities Act or any similar rule that may be adopted by the SEC with respect to dispositions of all of the Registrable Securities in such manner or manners specified by the Holders.
