Series F Issue Price definition

Series F Issue Price means $100 per share and the term "Conversion Price" shall mean the fair market value of the shares of Common Stock of the Company at the time of conversion, determined as follows: if the shares of Common Stock are traded on the Nasdaq Stock Market the average of the closing prices as reported by the Nasdaq Stock Market or, if not traded on the Nasdaq Stock Market, by such other principal securities exchange on which the shares are traded, as applicable, over the twenty (20) days preceding the date on which conversion will be made or, if not traded on any other exchange, the price per share which the Company could obtain from a willing buyer for shares of Common Stock sold by the Company, as determined in good faith by the Board of Directors of the Company.
Series F Issue Price means the per-share issue price of US$2.8814, as appropriately adjusted for share splits, share dividends, combinations, recapitalizations and similar events with respect to the Series F Preferred Shares.
