Selling Shareholder Indemnitees definition

Selling Shareholder Indemnitees has the meaning ascribed to it in Section 9.2(c).
Selling Shareholder Indemnitees means the following persons: (a) the Selling Shareholder; and (d) the respective successors and assigns of the Selling Shareholder.
Selling Shareholder Indemnitees means the following Persons: (a) each Selling Shareholder; (b) each Selling Shareholder’s current and future Affiliates (excluding the Operating Companies after the Closing Date); (c) the respective Representatives of the Persons referred to in clauses (a) and (b) above; and (d) the respective successors and assigns of the Persons referred to in clauses (a), (b) and (c) above.

Examples of Selling Shareholder Indemnitees in a sentence

  • Subject to the provisions of this Section 6, the Purchaser shall indemnify and hold harmless each of the Selling Shareholder Indemnitees from and against the amount of any Damages incurred by any of the Selling Shareholder Indemnitees directly or indirectly as a result of (i) any breach of a representation or warranty of the Purchaser contained in Section 3 hereof or in any instrument delivered pursuant to this Agreement or (ii) any breach of any covenant or obligation contained herein.

  • In the case of any such separate firm for the Selling Shareholder Indemnitees, such firm shall be designated in writing by the Selling Shareholder.
