SECURITY EXPENSES definition

SECURITY EXPENSES. All costs, expenses and disbursements which Landlord shall pay or become obligated to pay for security service personnel and security systems and equipment for the Building which Landlord may deem necessary or which is required by the lessor under any ground lease of the Property or any Mortgagee.

SECURITY EXPENSES means and include all costs and expenses paid or incurred by Landlord in connection with security services and otherwise endeavoring to provide security in and for the Common Areas and other portions of the Shopping Center, and in the Parking Facilities and in the vicinity of the Shopping Center, including but not limited to the following: personnel to implement such services and security offices in or near the Shopping Center; any and all alarm, security and other similar systems in and for the Shopping Center; personal property taxes and assessments levied upon or in respect of the equipment used in connection with providing security, and depreciation on any and all security machinery and equipment (if owned) and rental paid for such machinery and equipment (if rented) in accordance with GAAP (as defined in ARTICLE 19); and an amount equal to fifteen percent (15%) of the total of the foregoing Security Expenses for each calendar year. For purposes of calculating Tenant's share of Security Expenses, the total Security Expenses for a calendar year shall be reduced by any and all contributions of any and each Major User towards Security Expenses.
