The Borrower shall pay to the Security Agent and the Facility Agent the Security Agent Fee and the Facility Agent Fee in the amount and at the times agreed in a Fee Letter.
The Borrower shall pay (i) the fees set forth in the Fee Letter and the Common Security Agent Fee Letter to the Persons entitled thereto in the amounts and at the times set forth therein and (ii) all other fees from time to time agreed to by the Borrower and the Administrative Agent, the Common Security Agent and/or the Arrangers.
If the Closing Date does not occur, the Security Agent Fee will be payable within 30 days after an invoice in relation to such fee is issued by the Agent to the Borrower.
This letter is a “Fee Letter” as referred to in clause 14.3 (Agency Fee) and clause 14.4 (Security Agent Fee) of the Bridge Facility Agreement.
The first of such payments (the “First Security Agent Payment”) shall be payable on the Closing Date, which may (at the option of the Company) be paid by deducting such Security Agent Fee from the proceeds of the first Utilisation of the Facility and the Security Agent Fee shall only become payable if the first Utilisation of the Facility occurs.
