  • Except in the case of a Standard Pacific Adverse Recommendation Change specifically permitted by Section 5.3(b), Standard Pacific, through the Standard Pacific Board, shall (i) recommend to its stockholders that they adopt this Agreement and the transactions contemplated hereby, (ii) include such recommendation in the Proxy Statement and (iii) publicly reaffirm such recommendation within 24 hours after a request to do so by Ryland.

  • Without limiting the generality of the foregoing, Ryland agrees that its obligations pursuant to this Section 5.4(b) shall not be affected by the commencement, public proposal, public disclosure or communication to ▇▇▇▇▇▇ or any other Person of any Acquisition Proposal or the occurrence of any ▇▇▇▇▇▇ Adverse Recommendation Change.

  • No broker, investment banker, financial advisor or other Person, other than Lazard Frères & Co. LLC (the “▇▇▇▇▇▇ Financial Advisor”), the fees and expenses of which will be paid by Ryland, is entitled to any broker’s, finder’s, financial advisor’s or other similar fee or commission in connection with the transactions contemplated by this Agreement based upon arrangements made by or on behalf of Ryland or any of its Affiliates.
