  • In connection with the management of the Rump Shares, each Underwriter authorizes the Joint Bookrunners to reserve for sale, and to sell and deliver to securities dealers selected by them, who may include any of the Underwriters, such number as the Joint Bookrunners may determine of the New Shares which make up the Rump Shares.
