Neither ARG nor Acquisition Sub shall be liable for indemnification under this Agreement or the RTMAC Purchase Agreement in an aggregate amount in excess of the sum of the Aggregate Merger Consideration, the Aggregate Purchase Price and the RTMAC Purchase Price.

RTMAC does not have outstanding any bonds, debentures, notes or other obligations the holders of which have the right to vote (or convertible into or exercisable for securities having the right to vote) with the members of RTMAC on any matter.
There are no material claims by RTMAC pending under any of such policies or bonds in excess of $100,000 as to which coverage has been questioned, denied or disputed by the underwriters of such policies or bonds or in respect of which such underwriters have reserved their rights.
Section 2.13(f) of the RTMAC Disclosure Letter sets forth a description of each election, and revocation of such election, if any, made by RTMAC under Section 754 of the Code (and any comparable provision of state, local or foreign Tax Law).
There is not pending, nor to the Knowledge of the Sellers, threatened, against RTMAC, any application, action, petition, objection or other pleading, or any proceeding, with any Governmental Entity which questions or contests the validity of, or any rights of the holder under, or nonrenewal or suspension of any RTMAC Permit.
