RiskCalc. ▇▇▇▇▇’▇ RiskCalc for Private Companies, or any successor thereto.
RiskCalc. The ▇▇▇▇▇’▇ KMV RiskCalc version 3.1 Model (including subsequent versions), which is the model used to measure and predict risk for private middle market companies.
RiskCalc means, for purposes of determining the rating to be utilized in establishing a Rating Factor for an Eligible Portfolio Investment and the applicable expected default frequency (“EDF”), application of ▇▇▇▇▇’▇ RiskCalc Plus Version 4.0 (or such other version of ▇▇▇▇▇’▇ RiskCalc consented to by the Administrative Agent, such consent not to be unreasonably withheld, delayed or conditioned) in the Credit Cycle Adjustment (“CCA”) mode with static mapping to equivalent bond letter ratings; provided, however, that if at any time of determination a different Rating Factor is obtained utilizing the Financial Statement Only (“FSO”) mode, upon the Borrower’s request and the approval of the Administrative Agent in its sole discretion, the FSO mode may be substituted for the CCA mode with respect to determining such Rating Factor.
