Floating Rate Payer Payment Dates: Each Total Return Payment Date.
The Periodic Return will be calculated by the Portfolio Manager.A payment of the Periodic Return (a “ Periodic Return Payment”), if any, will be due and payable on 30 June of each year (each a “Periodic Return Payment Date”) with respect to the Financial Year (the “Accrual Period”) immediately preceding the Financial Year in which the Periodic Return Payment Date falls.
If the Portfolio Manager does not determine the amount of any Periodic Return Payment prior to the relevant Periodic Return Payment Date, the Issuer will appoint an internationally recognised firm of accountants (acting as experts not arbitrators) to carry out such determination and such determination shall be deemed to have been made by the Portfolio Manager and shall be binding on the Security Holder, the Trustee the Paying Agents and the Issuer.
The Portfolio Manager will determine, or procure to be determined, the amount of any Periodic Return, whether a Periodic Return Payment is due and payable, and the amount thereof, promptly following the end of the relevant Accrual Period and will notify the Trustee, the Paying Agents and the Security Holder in accordance with Condition 15 of the results of such determination promptly thereafter and, in any event, prior to the relevant Periodic Return Payment Date.
Any amount of Periodic Return that is not paid on any Periodic Return Payment Date shall be deferred until the next Periodic Return Payment Date or on such other date on or before the Maturity Date, as determined at the discretion of the Issuer.
If any Preferred Return Payment Date occurs prior to the Initial Closing, the Preferred Return may be paid out of the General Partner Loan, the General Partner’s Capital Contribution, borrowings, or any combination of the foregoing.
