Return Cap definition

Return Cap means, as of any date of determination, (i) an amount equal to 180.0% of the Purchase Price (i.e., $270,000,000) or (ii) if the Purchaser has not received the amount set forth in clause (i) on or before the 8th (eighth) anniversary of the Closing Date, an amount equal to 190.0% of the Purchase Price (i.e., $285,000,000).
Return Cap means, as of any date of determination, (i) an amount equal to 165.0% of the Cumulative Purchaser Payments or (ii) if the Purchasers have not received the amount set forth in clause (i) on or before the ten-year anniversary of the Effective Date, an amount equal to 175.0% of the Cumulative Purchaser Payments. For the avoidance of doubt:
Return Cap means, as of any date of determination, (i) an amount equal to 165.0% of the Cumulative Purchaser Payments or (ii) if the Purchasers have not received the amount set forth in clause (i) on or before the ten-year anniversary of the Effective Date, an amount equal to 175.0% of the Cumulative Purchaser Payments. Examples of Return Cap in a sentence

  • For any Reference Period in which the Periodic Return is greater than the Return Cap, the Periodic Return for that Reference Period will be deemed to be the Return Cap.

  • On the pricing date, the Corporation set a cap of 7.00%, or the "Return Cap," which limits any increases in the Periodic Return of the S&P 500® Index to that rate.

  • On the Pricing Date, the Corporation set a cap of 9.85%, or the "Return Cap," which limits any increases in the Periodic Return of the Nasdaq-100 Index® to that rate.

  • Any Minimum Cash Make-Whole Funding paid by Investor shall be deemed to be Development Costs, including for purposes of any adjustments to Fixed Success Payments and the Fixed Return Cap made under Section 6.3.

Related to Return Cap

  • Return Amount has the meaning specified in Paragraph 3(b).

  • Valuation Cap means $5,000,000.

  • Return Date means the date on which the Insured is scheduled to return to the point where the Trip started or to a different specified Return Destination. This date is specified in the travel documents.

  • Return on Invested Capital for a period shall mean earnings before interest, taxes, depreciation and amortization divided by the difference of total assets less non-interest bearing current liabilities.

  • Return on Sales means the percentage equal to the Company’s or a business unit’s Operating Income before incentive compensation, divided by the Company’s or the business unit’s, as applicable, revenue, determined in accordance with generally accepted accounting principles.
