The Franchisee has had a full and adequate opportunity to read and review this Agreement and to be thoroughly advised of the terms and conditions of this Agreement by an attorney or other personal representative, and has had sufficient time to evaluate and investigate the Restaurant System, the financial requirements and the risks associated with the Restaurant System.
We may use the information obtained as we deem appropriate, except that information you designate as confidential will not be disclosed to third parties in a manner that identifies you as the subject or source except: (i) with your permission, (ii) as may be required by law, (iii) in connection with audits or collections under this Agreement; or shared within the EVOS® Restaurant System (you understand that we disseminate operational and financial data throughout the System and to prospects).
F&E has recently executed and delivered to Shells that certain (i) Restaurant System Purchase agreement, dated September 27, 2007, between F&E and Shells (the “Original Agreement;”) and (ii) Amendment to Shells Seafood Restaurants, Inc.
Any and all improvements made by the Franchisee to the Marks or the Restaurant System will be the sole and absolute property of E & C, which will have the exclusive right to register and protect all such improvements in its name in accordance with applicable law.
The Franchisee acknowledges that Elephant & Castle would not grant the Elephant & Castle-Registered Trademark- Restaurant Franchise to the Franchisee or provide the Franchisee with the business information and "know how" about the Restaurant System unless the Franchisee agreed to comply with all of the terms and conditions of this Agreement and agreed to pay the Initial Fee, the Continuing Fees and all other fees specified in this Agreement.
The Franchisee acknowledges that E & C would not grant the Alamo Grill-TM- Restaurant Franchise to the Franchisee or provide the Franchisee with the business information and "know how" about the Restaurant System unless the Franchisee agreed to comply with all of the terms and conditions of this Agreement and agreed to pay the Initial Fee, the Continuing Fees and all other fees specified in this Agreement.
Elephant & Castle will indemnify and hold the Licensee harmless from any damages assessed against the Licensee in any actions resulting solely from the Licensee's proper and authorized use of the Marks and the Restaurant System at the Licensed Location if the Licensee has timely tendered defense of the action to Elephant & Castle.
The Franchisee will not have or acquire any rights in any of the Marks or the Restaurant System other than the right of use as provided herein.
CONFIDENTIALITY OF OTHER INFORMATION E & C and the Franchisee expressly understand and agree that E & C will be disclosing and providing to the Franchisee certain confidential and proprietary information concerning the Restaurant System and the procedures, operations, technology and data used in connection with the Restaurant System.
The Franchisee will have no right to and will not defend or enforce any rights associated with the Marks or the Restaurant System in any court or other proceedings for or against imitation, infringement, prior use or for any other claim or allegation.
