Required Dedication definition

Required Dedication means a dedication or conveyance of any Property at the direction of a governmental authority or a public utility, or pursuant to or in connection with a development agreement, or to a homeowners or condominium owners association, to (i) such governmental authority (or any designee of such governmental authority), (ii) a utility provider, (iii) a special foundation which holds land for preservation of the environment or (iv) a homeowners or condominium owners association, in any case for parks, schools, recreation centers, common community facilities, public streets, utility easements and installations, slopes or other rights-of-way or public use, in each case in the ordinary course of business (as determined by the Company in good faith and in the exercise of its reasonable commercial judgment).
Required Dedication means a dedication or conveyance of a portion of the Real Property Collateral at the direction of a Governmental Authority or a public utility to such Governmental Authority (or any designee of such Governmental Authority), or a utility provider, for public streets, curb cuts, sidewalks or rights of way, or for easements relating to the installation and maintenance of utility facilities; provided any such dedication or conveyance (individually and/or taken together will all other such dedications and conveyances) (i) has not had and could not reasonably be expected to have a Material Adverse Effect, or results in a Default or an Event of Default or (ii) has not impaired and could not reasonably be expected to impair the Collateral Agent’s First Priority Lien on the remaining Real Property Collateral.
Required Dedication means a dedication or conveyance of a portion of the Real Property Collateral (other than a Residential Unit or Unimproved Lot) in the Ordinary Course of Business at the direction of a Governmental Authority upon completion and approval by the applicable Governmental Authority of final plats or as required by the Heads of Agreement with respect to portions of the Real Property Collateral to such Governmental Authority (or any designee of such Governmental Authority); provided any such dedication or conveyance (individually and/or taken together will all other such dedications and conveyances) (i) has not had and could not reasonably be expected to have a Material Adverse Effect or (ii) has not impaired and could not reasonably be expected to impair the Collateral Agent’s First Priority Lien on the remaining Real Property Collateral.

Examples of Required Dedication in a sentence

  • Required Dedication Proceeds with respect to such applicable Required Dedication will be paid to the Administrative Agent, concurrently with the closing of such Required Dedication, to be applied in accordance with (and in the amount required by) subsection 2.6B(ii)(d).

  • Concurrently with, and as a condition to the closing of, any Required Dedication by any of the Borrower Entities, the Borrower shall prepay the Loans in an amount equal to the Required Dedication Proceeds attributable to such Required Dedication.

  • If any Required Dedication results in a material adverse impact on Tenant's use of the Leased Premises, Tenant shall have the right to terminate this Lease upon written notice to Landlord within ten (10) days Landlord notifies Tenant of the recordation of such Required Dedication.

  • Any delay in Landlord's Work being Substantially Completed resulting from Tenant's requested change to a Required Dedication shall be a Tenant Delay.

  • Required Deposit Rating A rating on short-term unsecured debt obligations of P-1 by Xxxxx’x Investors Service, Inc. and A-2 by S&P Global Ratings. Any requirement that short-term unsecured debt obligations have the “Required Deposit Rating” shall mean that such short-term unsecured debt obligations have the foregoing required ratings from each of such applicable rating agencies.

  • Distribution Compliance Period with respect to any Notes, means the period of 40 consecutive days beginning on and including the later of (i) the day on which such Notes are first offered to Persons other than distributors (as defined in Regulation S under the Securities Act) in reliance on Regulation S and (ii) the issue date with respect to such Notes.
