Required Borrowing Base definition

Required Borrowing Base means, at any time, an amount equal to an amount of Loan Receivables that would qualify as Eligible Loan Receivables under clauses (i) and (ii) of the definition thereof and are the type of Loan Receivables specified in clauses (a) through (e) of the definition of Borrowing Base, and which, after applying the percentage discounts in the definition of Borrowing Base at such time plus Unrestricted Cash held by the Borrower not to exceed $500,000,000, would not be less than the Outstanding Amount; provided that the amount of the Eligible Loan Receivables (after giving effect to the applicable advance rates) that are included in the Required Borrowing Base for each Subsidiary Guarantor shall not exceed the outstanding balance of the Intercompany Secured Loan owed to the Borrower by such Subsidiary Guarantor at such time.
Required Borrowing Base means, at any time, an amount equal to an amount of Loan Receivables that would qualify as Eligible Loan Receivables under clauses (i) and (ii) of the definition thereof and are the type of Loan Receivables specified in clauses (a) through (e) of the definition of Borrowing Base, and which, after applying the percentage discounts in the definition of Borrowing Base at such time plus Unrestricted Cash held by the Borrower not to exceed $250,000,000, would not be less than the aggregate principal amount of Loans outstanding; provided that the amount of the Eligible Loan Receivables (after giving effect to the applicable advance rates) that are included in the Required Borrowing Base for each Subsidiary Guarantor shall not exceed the outstanding balance of the Intercompany Secured Loan owed to the Borrower by such Subsidiary Guarantor at such time.
Required Borrowing Base means, with respect to each Series of Notes, the amount specified in the Series Supplement for such Series of Notes.

Examples of Required Borrowing Base in a sentence

  • Such recommended Borrowing Base shall become effective upon the receipt by the Administrative Agent of the approval of the Required Borrowing Base Lenders.

  • Other than a direction to pay any such Borrowing Base Asset Proceeds to a different Required Borrowing Base Account, the Secured Guarantors shall not make any change in the foregoing instructions without the consent of the Administrative Agent.

  • Required Revolving Facility Lenders means, at any time, Revolving Facility Lenders having (a) Revolving Facility Loans (other than Swingline Loans) outstanding, (b) Revolving L/C Exposures, (c) Swingline Exposures and (d) Available Unused Commitments that, taken together, represent more than 50% of the sum of (w) all Revolving Facility Loans (other than Swingline Loans) outstanding, (x) all Revolving L/C Exposures, (y) all Swingline Exposures and (z) the total Available Unused Commitments at such time; provided, that the Revolving Facility Loans, Revolving L/C Exposures, Swingline Exposures and Available Unused Commitment of any Defaulting Lender shall be disregarded in determining Required Revolving Facility Lenders at any time.

  • Requisite Revolving Lenders means Lenders having (a) more than 66 2/3% of the Revolving Loan Commitments of all Lenders, or (b) if the Revolving Loan Commitments have been terminated, more than 66 2/3% of the aggregate outstanding amount of the Revolving Loan.

  • Revolving Credit Availability Period means the period from and including the Effective Date to but excluding the earlier of the Revolving Credit Commitment Termination Date and the date of termination of the Revolving Credit Commitments.

  • Canadian Borrowing means a Borrowing of Canadian Loans.
