Relevant Instructions means the written consent obtained from the Debenture Holders pursuant to a Majority Resolution duly passed at the Meeting of the Debenture Holders convened in accordance with the provisions set out in Schedule I (Provisions for the Meetings of the Debenture Holders).

• Notwithstanding anything to the contrary in this Deed, the Trustee shall take all decisions in connection with this Deed (whether or not expressly specified to be taken pursuant to a Relevant Instruction), in accordance with Relevant Instructions.

• The Company further undertakes to procure that the Debentures shall remain continuously listed on the Wholesale Debt Market segment of BSE till the Maturity Date unless otherwise agreed in writing by the Debenture Trustee (acting in accordance with the Relevant Instructions).

• Any other change or modification to the terms of the Debentures or this Deed shall require Relevant Instructions.

• Provided however, that the Relevant Instructions shall have been obtained by the Debenture Trustee for any such waiver.

Relevant Instructions means in respect of any of the matters listed: (i) in paragraph (a) of Clause 23 of Schedule III (Provisions for the meetings of the Debenture Holders), the written consent obtained from the Debenture Holders representing not less than 65% (sixty five per cent.) in value of the nominal amount of the Debentures for the time being outstanding or consent by a Special Resolution duly passed at the meeting of the Debenture Holders convened in accordance with the provisions set out in Schedule III (Provisions for the meetings of the Debenture Holders); (ii) in paragraph (b) of Clause 23 of Schedule III (Provisions for the meetings of the Debenture Holders), the written consent obtained from the Debenture Holders representing not less than 51.% (fifty one per cent.) in value of the nominal amount of the Debentures for the time being outstanding or consent by a Majority Resolution duly passed at the meeting of the Debenture Holders convened in accordance with the provisions set out in Schedule III (Provisions for the meetings of the Debenture Holders);
