Sellers shall be responsible for the verification of all Rejection Costs, if any, including all administrative responsibilities associated therewith, and shall use their reasonable efforts to establish the proper amount of any Rejection Costs for each Contract excluded pursuant to Section 1.2(d), including taking all reasonable actions with respect to the filing and prosecution of any pleadings and proceedings in the Bankruptcy Court and the service and delivery of any related notices or pleadings.
RAKEZ shall be entitled to deduct all Rejection Costs from any amounts due and payable to the Supplier without following any specific procedure.
