Registration Suspension Period definition

Registration Suspension Period shall have the meaning set forth in Section 2(b).

  • During any Scheduled Registration Suspension Period, the Manager shall suspend, and shall cause the Trust to suspend, the disposition of any Registrable Securities pursuant to the Registration Statement, the Prospectus or any supplement thereto until termination of such Scheduled Registration Suspension Period.

  • Once any registration statement filed pursuant to this Section 2 or in which Registrable Securities are included pursuant to Section 3 has been declared effective, any period during which the Company fails to keep such registration statement effective and usable for resale of Registrable Securities for the period required by Section 4(b) shall be referred to as a "Registration Suspension Period".

  • For the avoidance of doubt, during any Scheduled Registration Suspension Period, the Manager shall be permitted to dispose, or cause the Trust to dispose, of Registrable Securities pursuant to Rule 144, if then available.

  • A Registration Suspension Period shall commence on and include the date that the Company gives written notice to Buyer of its determination that such registration statement is no longer effective or usable for resale of Registrable Securities (the "Suspension Notice") to and including the date when the Company notifies Buyer that the use of the prospectus included in such registration statement may be resumed for the disposition of Registrable Securities.

  • Once any Shelf Registration has been declared effective, any period during which the Company causes Purchaser to not sell under the Shelf Registration or fails to keep such Shelf Registration effective and usable for resale of Registrable Securities for the period required hereunder shall be referred to as a "Registration Suspension Period".

  • Any Registration Suspension Period shall continue until the date when the Company notifies Purchasers that the use of the prospectus included in a registration statement filed pursuant to this Section 2 may be resumed for the disposition of Registrable Securities.

  • The Effectiveness Period will be extended by the same number of days that comprise a Registration Suspension Period.

  • If so directed by the Company, the Manager shall deliver to the Company all physical copies of the Prospectus and any supplements thereto in its possession at the time of any Scheduled Registration Suspension Period or receipt by the Manager of any Suspension Event Notice or Suspension Notice.

  • If the Company does not respond to a Purchaser's notice of its intent to sell Registrable Securities within two Business Days of the Company's receipt of that notice, the Company will be deemed to have confirmed that the Shelf Registration is currently in effect and no Registration Suspension Period exists.

  • In order to enforce the covenants of the Manager set forth in Sections 4(b), (c) and (d) above, the Company may impose stop transfer instructions with respect to the sale of Registrable Securities by the Trust until the end of the applicable suspension period or Scheduled Registration Suspension Period.

  • Registration Statement means any registration statement that covers the Registrable Securities pursuant to the provisions of this Agreement, including the Prospectus included in such registration statement, amendments (including post-effective amendments) and supplements to such registration statement, and all exhibits to and all material incorporated by reference in such registration statement.

  • Registration year means the twelve-month period during which, under the laws of the base jurisdiction, the registration issued to a registrant by the base jurisdiction is valid.

  • Automatic Shelf Registration Statement means an “automatic shelf registration statement” as defined in Rule 405 promulgated under the Securities Act.

  • Subsequent Shelf Registration shall have the meaning given in subsection 2.3.2.

  • Additional Required Registration Amount means any Cutback Shares not previously included on a Registration Statement, all subject to adjustment as provided in Section 2(f).
