Reference Option definition

Reference Option. An Option, other than an incentive stock option, to which a Right shall relate.

Examples of Reference Option in a sentence

  • The exercise of a Tandem SAR shall automatically result in the surrender of the applicable portion of its Reference Option.

  • A Tandem SAR shall terminate and no longer be exercisable upon the termination of its Reference Option.

  • A Tandem SAR may only be exercisable at the times and, in whole or in part, to the extent that its Reference Option is exercisable.

  • The Reference Option shall terminate to the extent that the related Right is exercised.

  • If the Reference Option is a Non-Qualified Option, a Tandem SAR may be granted at or after the date of the Reference Option; if the Reference Option is an Incentive Option, the Grant Date of a Tandem SAR must be the same as the Grant Date of the Reference Option.

  • Each Right shall relate specifically to a Reference Option, then held by, or concurrently granted to, the Grantee.

  • Reference Option: An Option, other than an incentive stock option, to which a Right shall relate.

  • A "Tandem SAR" means an SAR granted with reference to a Stock Option (the "Reference Option").

  • Spread: The amount by which the Option Price that would be payable by the Grantee upon the exercise of the Reference Option is less than the Fair Market Value of a share of Common Stock on the date the related Right was granted.

  • For purposes of payment of a SAR, the reference price per Common Share shall be the Option Price of the Reference Option in the case of a Tandem SAR and shall be the Fair Market Value of a Common Share on the Grant Date in the case of a Non-Tandem SAR.

Related to Reference Option

  • Performance Option means an Incentive Stock Option or Nonqualified Stock Option, the grant of which or the exercisability of all or a portion of which is contingent upon the attainment of specified Performance Measures within a specified Performance Period.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Covenant Defeasance Option is defined in Section 4.01(b) of the Indenture.

  • Legal Defeasance Option is defined in Section 4.01(b) of the Indenture.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Related Option means an Option with respect to which a Stock Appreciation Right has been granted.

  • Liquidity Event means a Change of Control or an IPO.

  • Vested Portion means, at any time, the portion of an Option which has become vested, as described in Section 3 of this Agreement.

  • Employee Option means an Option granted pursuant to Section 5.

  • Right of Repurchase means the Company’s right of repurchase described in Section 7.

  • Make-Whole Exercise Solely for purposes of this Section 6.2, the “Redemption Fair Market Value” shall mean the volume weighted average price of the Ordinary Shares for the ten (10) trading days immediately following the date on which notice of redemption pursuant to this Section 6.2 is sent to the Registered Holders. In connection with any redemption pursuant to this Section 6.2, the Company shall provide the Registered Holders with the Redemption Fair Market Value no later than one (1) Business Day after the ten (10) trading day period described above ends. The share prices set forth in the column headings of the table above shall be adjusted as of any date on which the number of shares issuable upon exercise of a Warrant or the Warrant Price is adjusted pursuant to Section 4 hereof.   • Top-Up Option has the meaning set forth in Section 1.04(a).

  • Interest Option means LIBOR or the Reference Rate.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Stock Index Option means an exchange traded option entitling the holder, upon timely exercise, to receive an amount of cash determined by reference to the difference between the exercise price and the value of the index on the date of exercise.

  • Make-Whole Price with respect to any Notes to be redeemed, means an amount equal to the greater of:

  • Grant Year has the same meaning as in subclause 1(1) of Schedule 1 of HESA; ‘HESA’ means the Higher Education Support Xxx 0000; ‘maximum basic grant amount’ or ‘MBGA’ has the same meaning as in subclause 1(1) of Schedule 1 of HESA.

  • Vesting Event means the earliest to occur of the following events:

  • SAR Agreement means the agreement between the Company and an Optionee which contains the terms, conditions and restrictions pertaining to his or her SAR.

  • Sponsor Exercise Fair Market Value means the average last reported sale price of the Ordinary Shares for the ten (10) trading days ending on the third (3rd) trading day prior to the date on which notice of exercise of the Private Placement Warrant is sent to the Warrant Agent;

  • Initial Vesting Date means the date occurring one (1) year after the Date of Option Grant.

  • Reload Option means any Option granted under Section 6(a)(iv) of the Plan.

  • Replacement Option has the meaning set forth in Section 3.06.

  • Base Date means a date 30 day prior to the submission of tenders.

  • Option Date means, with respect to any Stock Option, the date on which the Stock Option is awarded under the Plan.

  • Vested LTIP Units has the meaning provided in Section 4.4(d) hereof.
