  • In accordance with the Exchange Act, the Tender Redemption Offer will remain open for a minimum of 20 Business Days and the Company will not be permitted to consummate its Business Combination until the expiry of such period.

Redemption Offer means the Issuer's Consent Solicitation and Offer to Redeem for Cash a certain percentage of the outstanding shares of Common Stock owned by the stockholders of the Corporation other than Fund II or MLGAL at $10.15 per share, which shall be made by a Consent Solicitation and Offer to Redeem for Cash in substantially the form of, and containing only those material terms and conditions set forth in, Exhibit I-D attached to the Stock Purchase Agreement.
