Redemption Offer definition

Redemption Offer has the meaning set forth in the Recitals.

Redemption Offer means the tender offer to be filed by Purchaser pursuant to Section 6.8 in accordance with U.S. federal securities laws and the rules and regulations of the SEC, to satisfy the Purchaser Shareholder Redemption Right.

Redemption Offer has the meaning given to such term in Section 6.13(a).

• In accordance with the Exchange Act, the Tender Redemption Offer will remain open for a minimum of 20 Business Days and the Company will not be permitted to consummate its Business Combination until the expiry of such period.

• If in the event a Member holding Public Shares accepts the Tender Redemption Offer and the Company has not otherwise withdrawn the tender offer, the Company shall, promptly after the consummation of the Business Combination, pay such redeeming Member, on a pro rata basis, cash equal to the applicable Per-Share Redemption Price.

Redemption Offer means the Issuer's Consent Solicitation and Offer to Redeem for Cash a certain percentage of the outstanding shares of Common Stock owned by the stockholders of the Corporation other than Fund II or MLGAL at $10.15 per share, which shall be made by a Consent Solicitation and Offer to Redeem for Cash in substantially the form of, and containing only those material terms and conditions set forth in, Exhibit I-D attached to the Stock Purchase Agreement.
