Recommendation Documents definition

Recommendation Documents has the meaning set out in Section 2.1(i)(v);
Recommendation Documents has the meaning ascribed thereto in Section 1.1(k).

  • Rio Tinto shall provide Alcan with such other assistance in relation to the completion of the Recommendation Documents as may be reasonably requested by Alcan.

  • Each of Parent and Merger Sub shall, and Parent shall cause any of its Affiliates to, promptly furnish, in writing, to the Company all information concerning Parent, Merger Sub and the Affiliates of Parent that may be required by applicable Laws or reasonably requested by the Company for inclusion in the Recommendation Documents.

  • The Company agrees to use reasonable best efforts to respond promptly to any comments of the SEC or its staff with respect to the Recommendation Documents, and each of the Company, Parent and Merger Sub agrees promptly to correct, in writing, any information provided by it for use in the Recommendation Documents if and to the extent that such information shall have become false or misleading in any material respect or as otherwise required by the Securities Laws.

  • The Company shall deliver copies of the proposed form of the Recommendation Documents to Parent and its counsel within a reasonable time prior to the filing thereof with the SEC for review and comment by Parent and its counsel and the Company shall give reasonable and good faith consideration to any such comments.

  • The Recommendation Documents and the Information Statement, as the case may be, will comply in all material respects with the Securities Laws, except that no representation or warranty is made by the Company with respect to statements made or incorporated by reference therein based on information supplied by Parent or Merger Sub for inclusion or incorporation by reference therein.

  • The Company shall take all steps necessary to amend or supplement the Recommendation Documents and to cause the Recommendation Documents, as so amended or supplemented, to be filed with the SEC and to be disseminated to the holders of Shares, in each case as and to the extent required by the Securities Laws.

  • Exception Documents shall have the meaning set forth in Section 4.2.

  • Formation Documents means, collectively, the Issuer LLC Agreement, the Issuer Certificate of Formation and any other document pursuant to which the Issuer is formed or governed, as each may be amended or supplemented from time to time.

  • Application Documents means collectively: (i) the grant application submitted by Grantee, including all exhibits, schedules, appendices and attachments thereto; (ii) all documents, correspondence and other written materials submitted with respect to the grant application; and (iii) all amendments, modifications or supplements to any of the foregoing approved in writing by City.

  • Solicitation Documents means the Consent Solicitation Statement dated as of March 18, 2005 and the related Consent Form, each as may be amended and supplemented from time to time.

  • Organization Documents means, (a) with respect to any corporation, the certificate or articles of incorporation and the bylaws (or equivalent or comparable constitutive documents with respect to any non-U.S. jurisdiction); (b) with respect to any limited liability company, the certificate or articles of formation or organization and operating agreement; and (c) with respect to any partnership, joint venture, trust or other form of business entity, the partnership, joint venture or other applicable agreement of formation or organization and any agreement, instrument, filing or notice with respect thereto filed in connection with its formation or organization with the applicable Governmental Authority in the jurisdiction of its formation or organization and, if applicable, any certificate or articles of formation or organization of such entity.
