R&D Technologies definition

R&D Technologies means any and all Intellectual Property Rights relating to the R&D Products developed, created or conceived in the performance of the Partiesobligations under this Agreement by (a) any member of the Ballard Group or by any Subcontractor (excluding MEA IP) or (b) any member of the Weichai Group.

  • In exchange for Customer’s payment of one-time prepaid maintenance fee payment prior to the Effective Date, R&D Technologies will provide Maintenance Services for a one year period from the Effective Date.

  • Weichai may, in its sole discretion, abandon any Intellectual Property Rights in the R&D Technologies, refrain from paying renewal fees or annuities in respect of any of same, or refrain from enforcing or defending any of same.

  • R&D Technologies shall not be responsible or liable for any loss, damage, delay or failure to act resulting from any cause beyond R&D Technologies’ reasonable control.

  • Weichai will reimburse B▇▇▇▇▇▇ for all reasonable third-party costs incurred in providing the foregoing documentation and information solely in connection with the filing, prosecution or maintenance of the R&D Technologies for patents or other registered Intellectual Property Rights.

  • Technology means all the software, prototypes, devices, drawings, specifications, lab notebooks, manuals, databases, equipment, files, technical memoranda, invention disclosures, patent application files, research studies, testing data, plans, files, formulas, computer programs, data and information, quality control records and procedures, research and development files containing, embodying or revealing the trade secrets, confidential information, and know-how that constitute Intellectual Property.

  • SAP Technology Solution(s) means SAP NetWeaver Foundation for Third Party Applications, SAP Business Technology Platform (excluding when used solely as a Connectivity App between an SAP Application and ERP), SAP Signavio Solutions and SAP Process Insights (including any renamed, prior and/or successor versions of any of the foregoing made generally available by SAP, if any but excluding when any of the foregoing are used as a User Interface for ERP).

  • New Technology means methods, products, processes and procedures developed through science or research;

  • Company Technology means all Technology used in or necessary for the conduct of the business of the Company or any of its Subsidiaries, or owned or held for use by the Company or any of its Subsidiaries.

  • Background Technology means all tools, programs, designs, processes, formulas, techniques, improvements, inventions, works of authorship, software, data, know-how, ideas, methodologies, specifications, code libraries, algorithms, protocols, routines, subroutines, network systems, machine learning models, Trade Secrets (defined below), and other technology which are: (a) created, developed, owned, or licensed by PickNik prior to the Effective Date of this Agreement; (b) are created, developed, owned, or licensed by PickNik during the term of this Agreement but not delivered as a part of the Software; (c) which have general applicability to PickNik’s business and which are not based on any Company Confidential Information; or (d) modifications of or derivatives to any of the foregoing.
