RBA Architecture is a professional services corporation duly organized, validly existing and in good standing under the laws of the state in which it was incorporated and has all requisite power and authority to own, lease and operate its properties and to carry on its business as presently conducted and as proposed to be conducted.
For purposes of this ARTICLE IV, references to the “Company” shall include only the Company, RBA Connecticut, RBA New York and RBA Architecture, and references to “Company Stockholders” shall include, in addition to the Company Stockholders, the members of RBA Connecticut (the “Members”), the partners of RBA New York (the “Partners”) and the stockholders of RBA Architecture (the “Stockholders”).
