Costs incurred by the Founders or Rackable (or any other holder of Founder Shares) on their own behalf will not be considered costs of the transaction hereunder; it being understood that the fees and disbursements of one counsel chosen by the Purchaser will be deemed for the benefit of all holders of Founder Shares participating in such Approved Sale.
