Qualified Parties definition

Qualified Parties means any (i) trust described in Section 664 of the Code (or any substantially similar entity under non-U.S. tax laws) of which the Investor or Family Members of the Investor are income beneficiaries and (ii) any charitable organization described in Section 501(c)(3) of the Code (or any substantially similar entity under non-U.S. tax laws), in both cases that is or simultaneously agrees to be bound as an Investor under this Agreement.
Qualified Parties means, with respect to any Person, any (i) trust described in Section 664 of the Code or other trust of which the Person or Family Members or Qualified Parties of the Person are greater than 50% income beneficiaries, (ii) charitable organization described in Section 501(c)(3) of the Code, (iii) with respect to any Class B Entity that is a natural person, estate of such natural person and (iv) Family Members of any Person that is a natural person.
Qualified Parties means CSG employees or contractors (A) who have a bona fide need to access the applicable information in connection with the performance of CSG’s obligations hereunder, and (B) who have executed an agreement with CSG or its Qualified Third Party Contractor (including Media) that is no less restrictive than the provisions set forth in Exhibit B-1(c) of the Agreement. CSG shall (I) take all reasonably necessary precautions to protect the Consumer Information and Consumer Usage Data in connection with disclosures to its employees and contractors; (II) ensure that its employees’ and contractors’ use of the Consumer Information and Consumer Usage Data is strictly in accordance with the limitations contained in the Agreement, and (III) be responsible for the acts or omissions of such third parties with respect to their use of the Consumer Information and Consumer Usage Data and shall defend, indemnify and hold harmless Customer, its impacted Affiliates and its and their respective officers, directors, members, shareholders, partners, employees, agents and legal representatives (“Customer Indemnitees”) from and against any and all claims and suits brought and liabilities, expenses, attorneys’ fees or damages claimed by a third party other than an Affiliate of the Customer Indemnitees for any breach by such third party of CSG’s obligations with respect to the Consumer Information and Consumer Usage Data. For clarity, CSG’s indemnification obligation under this Section 15(c) is subject to the provisions of Section 13(f) of the Agreement and, to the extent such third party’s acts or omissions constitute a Security Breach, Section 5 of this CD Amendment.

  • The Filer proposes to trade in exchange contracts only on behalf of Qualified Parties.

  • All exchange contracts traded by the Filer on behalf of Qualified Parties will be subject to regulation by the CFTC or other similar regulatory authorities.

  • Exchange contracts will be traded by the Filer on behalf of Qualified Parties only on exchanges located outside Canada (each a Non-Canadian Exchange).

  • The Fund reserves the right to issue further rules and conditions regarding potential alliances of Qualified Parties or Members of Qualified Parties as part of the Process Letter.

  • The determination of as to which of HDA or Equus shall execute and deliver the Supra Note shall be solely at the discretion of Equus.

  • Each of the CBOT Qualified Parties permitted by CBOT to trade on the Exchange Platforms in Alberta will be contractually obligated to notify CBOT within 10 days of any substantive change to their qualification as a CBOT Qualified Party.

Related to Qualified Parties

  • Qualified Person means one who, by possession of a recognized degree, certificate, or professional standing, or who by extensive knowledge, training and experience, has successfully demonstrated his ability to solve or resolve problems relating to the subject matter, the work, or the project.

  • Independent Qualified Party means an investment banking firm, accounting firm or appraisal firm of national standing; provided, however, that such firm is not an Affiliate of the Company.

  • Qualified personnel means personnel who meet the statutory or regulatory qualifications for each respective profession currently applicable in this state.

  • Specified Persons means the Directors, connected persons, the insiders, the Designated Employees and the promoters and immediate relatives are collectively referred to as Specified Persons.

  • Covered Parties has the meaning set forth in Section 6.7(a).

  • Qualified patient means a “qualified patient” as defined in Health and Safety Code Section 11362.7(f).

  • Excluded Parties shall have the meaning assigned to such term in Section 9.16.

  • Selling Parties shall have the meaning specified in the preamble.

  • Parent Entities means, collectively, Parent and all Parent Subsidiaries.

  • Controlling Persons means the natural persons who exercise control over an Entity. In the case of a trust, such term means the settlor, the trustees, the protector (if any), the beneficiaries or class of beneficiaries, and any other natural person exercising ultimate effective control over the trust, and in the case of a legal arrangement other than a trust, such term means persons in equivalent or similar positions. The term “Controlling Persons” shall be interpreted in a manner consistent with the Financial Action Task Force Recommendations.

  • Parent Indemnified Parties has the meaning set forth in Section 9.2(a).

  • Indemnified Parties has the meaning set forth in Section 8.2.

  • Buyer Parties means Buyer, its respective Affiliates and the former, current or future equity holders and Representatives of each of the foregoing.

  • Buyer Indemnified Parties has the meaning set forth in Section 8.2.

  • Investor Parties has the meaning set forth in the Preamble.

  • Seller Affiliates has the meaning assigned to such term in Section 2.7.1;

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Indemnified Persons has the meaning assigned to such term in Section 7.12(c).

  • Restricted Parties has the meaning set forth in Section 6.15(a).

  • Purchaser Parties means, collectively, the Purchasers and any of their respective former, current or future directors, officers, employees, agents, general or limited partners, managers, members, stockholders, Affiliates or assignees or any former, current or future director, officer, employee, agent, general or limited partner, manager, member, stockholder, Affiliate or assignee of any of the foregoing.

  • Legally Qualified Physician means a physician or a Christian Science Practitioner (a) other than an Insured, a Traveling Companion or a Family Member: (b) practicing within the scope of his or her license: and (c) recognized as a physician in the place where the services are rendered.

  • Party and Parties means the Settling Defendants, the Plaintiffs, and, where necessary, the Settlement Class Members.
