  • The Repurchase Notice shall set forth the number of Executive Units to be acquired from the Executive and/or QLH, as the case may be, the aggregate consideration to be paid in cash for such Executive Units, QL Holdings’ determination of the Fair Market Value and resulting calculation of Unit Fair Market Value of each Unit, and the time and place for the closing of the transaction.

  • If QL Holdings elects to repurchase Executive Units from the Executive or QLH pursuant to this Section 6, QL Holdings shall deliver written notice of its election to the Executive (a “Repurchase Notice”) within one hundred twenty (120) days of the date of termination of the Executive’s employment.

  • In connection with any such purchase of Executive Units, QL Holdings will be entitled to receive customary representations and warranties from the Executive and/or QLH, as the case may be, regarding the valid ownership of such Executive Units, free of all liens and encumbrances (other than those arising under applicable securities laws), and the Executive’s and/or QLH’s authority, power and right to sell such Executive Units without violating any other agreement.

  • For purposes of determining the vote of the majority of the Class A Units held by the Founders’ Member Group for purposes of this Section 10.01, each Founder shall be deemed to own indirectly such portion of the Class A Units held by (i) QLH that is equivalent to such Founder’s percentage ownership of QLH and (ii) the Management Member that is equivalent to such Founder’s percentage ownership of the Management Member.

  • QLC means the Quarterly License Charge for use of a DS Offering, subject to the conditions set forth in the Agreement. Payment of the QLC for a DS Offering entitles Customer to (i) a three (3) months license to use the Release of a DS Offering and its subsequent Release(s), if any, as made available by DS during such quarter, in lieu of the license(s) on the previous Release(s) of such DS Offering, and (ii) Support Services for the DS Offering for such three (3) months period. QLC is not automatically renewable. Termination of Support Services is not permitted without terminating the license of the DS Offering. TBL means Term Based License charge applicable to each license of a DS Offering ordered under the TBL/ALC pricing structure. The TBL is a one-time and non-refundable charge. Payment of the TBL for a DS Offering provides Customer with a license for a period as described in the Product Portfolio and in the Transaction Document (subject to the conditions set forth in the Agreement) to use the Release of such DS Offering made available by DS on the Effective Date of the license. “TBLx” is a TBL for a period of “x” years. As an example, “TBL2” is a TBL for a period of two (2) years. TBL is not automatically renewable.

  • Beacon means a highway traffic signal with one or more signal sections that operate in a flashing mode. (ORC 4511.01(KKK))

  • SADC means the Southern African Development Community;

  • MB means megabyte, which is equal to 1024 kilobytes or 1,048,576 bytes of digital information.
