PVI Board definition

PVI Board means the board of directors of the Purchaser.

  • The parties agree that the Purchaser's sole obligation under this Section 7.1(d) with respect to such certificate of incorporation is, subject to approval of the PVI Board, to submit, and recommend approval of, an amendment to its certificate of incorporation to effect such a provision to the meeting of shareholders referred to in Section 7.6 hereof and if such amendment is approved, thereafter to comply with the provisions of this Section 7.1(d) with respect to its certificate of incorporation.
