Purchasing Entities. Issues concerning interpretation and eligibility for participation are solely within the authority of the State of Vermont Chief Procurement Officer. The maximum dollar amount payable under this contract is not intended as any form of a guaranteed amount. The Contractor will be paid for products or services actually delivered or performed, as specified in Attachment A, up to the maximum allowable amount specified on page 1 of this contract.

PLEASE NOTE: The State of Vermont sets the following fees for their use only. Other state agencies/individuals that are not part of State of Vermont may use this fee schedule as a guide. However, actual fees must be negotiated with the individual interpreter for each job or assignment. The hourly interpreter rate is determined by an interpreter’s years of experience after the original certification date. (See Interpreter Pay Schedule below)
Examples of Purchasing Entities in a sentence
Contractor shall submit quarterly reports electronically detailing the purchasing of all items by all Purchasing Entities under this Agreement.
Overdue or other charges or penalty for late payment are not authorized and shall not apply to Purchasing Entities.
Purchasing Entities may solicit the Contractor or, as applicable, its Fulfillment Partner/Authorized Reseller for deeper discounts than the minimum contract pricing as set forth in the Price Schedule (e.g., additional volume pricing, incremental discounts, firm fixed pricing or other incentives).
Participating Entities who are states incur no financial obligations on behalf of other Purchasing Entities.
Obligations under this Master Agreement are limited to those Participating Entities who have signed a Participating Addendum and Purchasing Entities within the scope of those Participating Addenda.
More Definitions of Purchasing Entities
Purchasing Entities. This Participating Addendum may be used by (a) all departments, offices, institutions, and other agencies of the State of Vermont and counties (each a “State Purchaser”) according to the process for ordering and other restrictions applicable to State Purchasers set forth herein; and (b) political subdivisions of the state (including, but not limited to, cities, towns, and school districts) and any institution of higher education chartered in Vermont and accredited or holding a certificate of approval from the State Board of Education as authorized under 29 V.S.A. § 902 (each an “Additional Purchaser”). Issues concerning interpretation and eligibility for participation are solely within the authority of the State of Vermont Chief Procurement Officer. The State of Vermont and its officers and employees shall have no responsibility or liability for Additional Purchasers. Each Additional Purchaser is to make its own determination whether this Participating Addendum and the Master Agreement are consistent with its procurement policies and regulations. Child Support (Applicable to natural persons only; not applicable to corporations, partnerships or LLCs). Contractor is under no obligation to pay child support or is in good standing with respect to or in full compliance with a plan to pay any and all child support payable under a support order as of the date of this amendment.

Purchasing Entities means the entities formed, or to be formed prior to the Closing Date, by the Purchaser. “Quarterly Statement” has the meaning set forth in Section 2.12(b). “Recovered Earn-Out Loss” has the meaning set forth in Section 9.6(d). “Registered IP” means Intellectual Property Rights that have been registered, issued, filed, certified or otherwise perfected or recorded with or by any Governmental Authority or quasi-public legal authority (including domain name registrars), or any applications for any of the foregoing, whether active or inactive. “Release” means any release, deposit, discharge, emission, leaking, leaching, spilling, seeping, injecting, pumping, pouring, emptying, escaping, dumping, disposing or migration of Hazardous Materials in, on, at, or under any site or location or into the environment. “Representatives” means, with respect to any Person, such Person’s directors, managers, officers, employees, agents, consultants and other advisors, and other representatives. “Requisite Net Margin” means a Net Margin of at least 10% of the associated revenue for the relevant period (either 2023 Revenue or 2024 Revenue), without giving effect to the adjustments for Dating Revenue, Gaming Revenue and Home Services Revenue. “Restricted Parties” has the meaning set forth in Section 3.24(c). “Restricted Period” has the meaning set forth in Section 5.10. “Restricted Persons” means, with respect to any party, such party’s Affiliates and its and their respective Representatives. “RWI Insurer” means Indian Harbor Insurance Company. “RWI Policy” means the representation and warranty insurance policy acquired by the Purchaser, the binder and form of policy that are attached hereto as Exhibit B. “RWI Policy Premium” means $492,000. “RWI Policy Premium Overage” means $50,000. “Sanctioned Territories” has the meaning set forth in Section 3.24(c). “Sanctions” has the meaning set forth in Section 3.24(c). “Section 1060 Allocation” has the meaning set forth in Section 2.10. “Securities Act” means the US Securities Act of 1933, as amended. “Seller Disclosure Schedule” has the meaning set forth in Article 3. “Seller” or “Sellers” has the meaning set forth in the Preamble.
