No Purchaser Common Shares have been issued in violation of any Law on the part of the Purchaser or any pre-emptive or similar rights applicable to them.
As of close of business on October 16, 2020 there were 141,690,708 Purchaser Common Shares issued and outstanding and no preferred shares issued and outstanding.
All outstanding Purchaser Common Shares have been duly authorized and validly issued, are fully paid and non-assessable (and no such shares have been issued in violation of any pre-emptive or similar rights).
