During the term of this Agreement, each Stockholder hereby irrevocably appoints ("Irrevocable Proxy") Officer or, in his absence, __________ or any other person who shall hereafter be designated in writing by Officer, said Stockholder's proxy and attorney-in-fact (with full power of substitution), for and in the name, place and stead of the Stockholder, to vote the Shares, or grant a consent and approval in respect of such Shares, in accordance with the provisions of this Article IV.
The Executive shall be eligible, for each calendar year ending during the Term of this Agreement (prorated for partial years), an annual bonus (the “Annual Bonus”) under the Heritage Bank of Commerce Proxy Officer Bonus Plan or comparable alternate plan, subject to the terms, conditions and limitations of the Incentive Plan.
