Provider Equipment definition

Provider Equipment means telecommunications and data devices, apparatus and associated equipment owned, leased, or otherwise obtained by Granite and/or its Provider(s) to provide Services.

Provider Equipment means all equipment owned or leased by Provider that is directly used to provide the Services.   • If the Contracting Authority removes or arranges the removal of all or any part of the Goods or any Service Provider Equipment from the Site, the Contracting Authority will, in relation to Service Provider Equipment, arrange to store the same and to make the same available for collection on reasonable prior notice by the Service Provider for a period of three (3) months.

  • The Service Provider will make good any damage caused to the Contracting Authorities Premises or to Third Party property caused by the removal of the Goods or any Service Provider Equipment to the reasonable satisfaction of the Contracting Authority.

  • To use the CXC Service the Service Provider must have the capability to access and interconnect with the CXC Service, either by co-locating Service Provider Equipment in a Service Provider Footprint at the originating or destination POI or Central Office, or by purchasing the additional services set out in 2.4.


More Definitions of Provider Equipment

Provider Equipment means the equipment owned or sourced by the Provider that is used, or to be used, by the Provider while providing the Services.
Provider Equipment means all Equipment owned or leased by Provider that is used, directly or indirectly, to provide the Services.
Provider Equipment means any computer, networking or telephony equipment, racking, or associated hardware or other equipment (if any) that Provider installs on Client’s premises or that Provider ships to Client’s location to facilitate the delivery of Services. Provider Equipment does not include any hardware or devices that Provider may sell to Client or that Provider procures on Client’s behalf. Provider is and will remain the sole owner of any Provider Equipment, which is provided on a rental or temporary basis only. This agreement transfers to Client no Provider Equipment ownership rights of any kind. Provider retains sole discretion and shall determine the appropriate Provider Equipment and associated software and/or technology, if any, to be used at Client’s location, provided that Provider’s determination does not materially impair the availability or delivery of services under this Agreement. Provider also retains the obligation to conduct maintenance, repairs and/or improvement of the Provider Equipment. Except as otherwise may be specified in an applicable Service Attachment, Provider makes no independent representations or warranties with respect to the Provider Equipment. Any third-party warranties are Client’s exclusive remedies with respect to such Provider Equipment. In the event of a Provider Equipment malfunction, Provider will take commercially reasonable steps to ensure that Client receives the benefit of any manufacturer warranties applicable to the Provider Equipment in use at Client’s location. Client shall take reasonable care of the Provider Equipment and shall not damage it, tamper with it, move or remove it, attempt to repair it, or attempt to install any software on it. Client is financially responsible, up to the full replacement value of all Provider Equipment, for all damage to or loss of the Provider Equipment used at Client’s location, other than loss or damage caused by Provider. In addition, Client shall obtain and maintain insurance with a reputable insurer for the full replacement value of the Provider Equipment. Such policy or policies of insurance must cover the Provider Equipment against loss or damage (including, without limitation, accidental loss or damage) and must name Provider as an insured beneficiary with respect to the Provider Equipment. Provider Equipment means Provider’s infrastructure, networks, servers, routers, gateway and switching devices, conferencing bridges and/or any other equipment that Provider may use from time to time to deliver the Services to Customer, including any software installed on such equipment. Responsibility and title to Provider Equipment remains with Provider at all times. Unless otherwise specified, Provider Equipment is located within data centers operated and controlled by Provider or its third party suppliers as the case may be (“Provider’s premises”) and Provider Equipment does not include any Customer Equipment. Legal Requirement means all then-governing laws, directives, ordinances, regulations, statutes, treaties, injunctions, judgments, decrees, orders and/or rulings rendered by any court, administrative agency or other governmental body of competent jurisdiction applicable to the matter at issue. Recurring Charge(s) means recurring charges incurred by Customer for Services as specified in the applicable SA, OF and SOW. Non-Recurring Charge(s) means the onetime charges for installation of the Services including fees directly charged by Provider and those passed through to Customer from Provider’s third party vendors and/or subcontractors. All such Non Recurring Charges will be established in each SA, OF or SOW either as a specific amount or detailed as being Customer’s responsibility. Services mean the Managed Services and related products, software and services provided by the Provider (“Provider Services”) and its third party suppliers (“Third Party Services”) (the Provider Services and Third Party Services are referred to collectively as the “Services”) as defined in the Agreement and any applicable Service Definition(s).
