Except for Reef's obligation to pay to CMI the Participation Fee as provided in Paragraph 3 above, and for CMI's obligation at its expense to furnish to Reef the Initial Prospect Information and other reports and data as provided in this Agreement, each party shall bear its own costs and expenses associated with the evaluation of each Prospect and any subsequent negotiation of a participation agreement or other agreement with a Selling Party.
For the purposes of the Agreement, the term “Confidential Information” means the terms and conditions of the Agreement, all Prospect Information (as defined below) and all non-public information about the technology, business or activities of Autotrader or any other Program Provider, whether or not marked or designated by Autotrader or any Program Provider as “confidential” or “proprietary” at the time of disclosure.
